Terms & Conditions

1      These terms

1.1     These are the terms and conditions on which we supply products to you, whether these are goods or services.

1.2     Please read these terms carefully before you submit your order to us. These terms tell you who we are, how we will provide products to you, how you and we may change or end the contract, what to do if there is a problem and other important information. If you think that there is a mistake in these terms, please contact us to discuss.

1.3     In some areas you will have different rights under these terms depending on whether you are a business or consumer. You are a consumer if:

  • You are an individual.

  • You are buying products from us wholly or mainly for your personal use (not for use in connection with your trade, business, craft or profession).

1.4     If you are a business customer these terms constitute the entire agreement between us in relation to your purchase. You acknowledge that you have not relied on any statement, promise, representation, assurance or warranty made or given by or on behalf of us which is not set out in these terms and that you shall have no claim for innocent or negligent misrepresentation based on any statement in this Agreement.

2      Information about us and how to contact us

2.1     We are Certainly Wood Limited a company registered in England and Wales. Our company registration number is 05473995 and our registered office is at Lower Lulham, , Madley, Hereford, HR2 9JJ. Our registered VAT number is GB 864 5512 12.

2.2     You can contact us by telephoning our customer service team at 01981 251796 or by sending an email  to office@certainlywood.co.uk.

2.3     If we have to contact you we will do so by telephone or by writing to you at the email address or postal address you provided to us in your order.

2.4     “Writing” includes emails. When we use the words “writing” or “written” in these terms, this includes emails.

3      Our contract with you

3.1     Our acceptance of your order will take place when we email you to accept it, at which point a contract will come into existence between you and us.

3.2     If we are unable to accept your order, we will inform you of this and will not charge you for the product. This might be because the product is out of stock, because of unexpected limits on our resources which we could not reasonably plan for, because we have identified an error in the price or description of the product or because we are unable to meet a delivery deadline you have specified.

3.3     We will assign an order number to your order and tell you what it is when we accept your order. It will help us if you can tell us the order number whenever you contact us about your order.

3.4     Our website is solely for the promotion of our products in the UK. Unfortunately, we do not accept orders from addresses outside the UK.

4      Our products

4.1     The images of the products on our website are for illustrative purposes only. Although we have made every

4.2     effort to display the colours accurately, we cannot guarantee that a device’s display of the colours accurately reflects the colour of the products. Your product may vary slightly from those images.

4.3     The packaging of the product may vary from that shown in images on our website.

4.4     Being a natural product, there will be natural variations, but the parameters of each product’s specification are clearly shown on the website and may periodically be reviewed and amended by us.

5      Delivery

5.1     All national deliveries will be ‘Economy’ which is 3-5 working days from despatch (unless otherwise specified) and delivered on a pallet using a tail lift lorry with a hand pump truck. (No crane facilities).

5.2     Delivery is free on all bulk orders over £125.00 when delivered via our national delivery network within mainland UK.

5.3     All offshore destinations will be subject to a delivery surcharge. 

5.4     Orders received by 3:00 p.m. will be despatched on the next working day and delivered within the specified lead time as quoted on the website. 

5.5     Economy Delivery Service has delivery times between 9:00 a.m. and 5:00 p.m. This is termed as an ‘open booking’ with no time specified, just the day that you have selected for delivery.

5.6     AM Delivery Service is available with delivery between 9.00a.m. and 12:00 p.m. and for an additional charge of £11.00 per pallet.

5.7     PM Delivery Service is available with delivery between 1:00 p.m. and 4:00 p.m. and for an additional charge of £5.50 per pallet.

5.8     Premium Next day delivery service is available at an additional charge of £16.00 per pallet and goods will be delivered the day after despatch and within 1-2 working days of order. This will be delivered on your chosen day between 9.00 a.m. and 5:00 p.m. You will receive an email to confirm that it has been despatched – it will then be delivered the following day as an ‘open booking’, but you will NOT receive a further call.

5.9     Saturday Delivery is available at an additional charge of £30.00 per pallet. but orders must be received by Tuesday 3:00 p.m. otherwise it will be delivered the following Saturday. N.B. Saturday deliveries WILL NOT BE BOOKED IN, they will just appear on your chosen day, and will be delivered  between the hours of 8.30 a.m and 1.00 p.m.. 

5.10   In the event of you  agreeing to a delivery and not being at home during the agreed time period, or there not being a safe place to leave the goods, a redelivery charge of £20.00 per pallet will be made. 

5.11   Delivery drivers are not expected to manoeuvre the pallet beyond the rear of the vehicle but will risk assess each delivery and always be as helpful as possible where conditions allow. 

5.12   In the event of a delivery not being possible due to poor access or gravel drive then the delivery will have to be “kerbside” (i.e. left as near to the property as possible). If this is still not possible on the day, a re-delivery charge of £20 may be imposed. 

5.13   All goods must be checked on arrival and delivery paperwork signed unless prior agreement has been made with the delivery company to leave the goods at the property at which point these will be left at the customer’s risk. 

5.14   On making a bulk purchase, once delivered the pallet on which the product is delivered automatically becomes the property of the purchaser.

5.15   Any delivery issues must be reported immediately to Certainly Wood Limited. 

5.16   Lead times may extend during busy periods.

6      Your rights to end the contract

6.1     Your rights when you end the contract will depend on what you have bought, whether there is anything wrong with it, how we are performing, when you decide to end the contract and whether you are a consumer or business customer. If you are a consumer and have just changed your mind about the product, see clause 6.3. You may be able to get a refund if you are within the cooling-off period, but this may be subject to deductions and you will have to pay the costs of return of any goods.

6.2     If you are ending a contract for a reason set out below the contract will end immediately and we will refund you in full for any products which have not been provided and you may also be entitled to compensation. The reasons are:

6.2.1     the products do not meet specifications shown on our website at time of order. In this instance we offer a Money Back Guarantee and shall arrange for the collection of the goods at our own costs and a full refund;

6.2.2     we have told you about an error in the price or description of the product you have ordered and you do not wish to proceed;

6.2.3     there is a risk supply of the products may be significantly delayed because of events outside our control;

6.2.4     we have suspended supply of the products for technical reasons, or notify you we are going to suspend them for technical reasons, in each case for a period of more than one month; or

6.2.5     you have a legal right to end the contract because of something we have done wrong.

6.3     If you are a consumer then for products bought online you have a legal right to change your mind within 14 days of receiving the goods and receive a refund. 

6.4     Even if we are not at fault and you are not a consumer who has a right to change their mind, you can still end the contract before it is completed, but you may have to pay us compensation. If you want to end a contract before it is completed where we are not at fault and you are not a consumer who has changed their mind, just contact us to let us know. The contract will end immediately and we will refund any sums paid by you for products not provided but we may deduct from that refund reasonable compensation for the net costs we will incur as a result of your ending the contract

7      How to end the contract with us (including if you are a consumer who has changed their mind)

7.1     To end the contract with us, please let us know by doing one of the following:

7.1.1     Call customer services on 01981 251796 or email us at office@certainlywood.co.uk.

7.1.2     Please provide your name, home address, details of the order and, where available, your phone number and email address.

7.1.3     Email or write to us at the address above , including details of what you bought, your order number, when you ordered or received it and your name and address. We suggest you ring first to discuss the issue.

7.2     If you end the contract for any reason after products have been dispatched to you or you have received them, you must return them to us. You must either return the goods in person to where you bought them or allow us to collect them from you. Please call customer services on 01981 251796 or email us at office@certainlywood.co.uk for a return label or to arrange collection. 

7.3     We will pay the costs of return:

7.3.1     if the products are faulty or mis-described; or

7.3.2     if you are ending the contract because we have told you of an upcoming change to the product or these terms, an error in pricing or description, a delay in delivery due to events outside our control or because you have a legal right to do so as a result of something we have done wrong; In all other circumstances (including where you are a consumer exercising your right to change your mind) you must pay the costs of return which is circa £40 per pallet

7.4     If you are responsible for the costs of return and we are collecting the product from you, we will charge you the direct cost to us of collection.

7.5     If you are entitled to a refund under these terms we will refund you the price you paid for the products including delivery costs, by the method you used for payment. However, we may make deductions from the price, as described below.

7.6     We will make any refunds due to you as soon as possible and in any event within 14 days of your telling us you have changed your mind

8      Our rights to end the contract

8.1     We may end the contract for a product at any time by writing to you if:

8.1.1     you do not make any payment to us when it is due and you still do not make payment within 7 days of us reminding you that payment is due; or

8.1.2     you do not, within a reasonable time, allow us to deliver the products to you or collect them from us.

8.2     If we end the contract in the situations set out in clause 8.1 we will refund any money you have paid in advance for products we have not provided but we may deduct or charge you reasonable compensation for the net costs we will incur as a result of your breaking the contract.

8.3     We may write to you to let you know that we are going to stop providing the product. We will let you know at least 7 days in advance of our stopping the supply of the product and will refund any sums you have paid in advance for products which will not be provided.

9      Price and payment

9.1     The price of the product (which includes VAT) will be the price indicated on the order pages when you placed your order. We take all reasonable care to ensure that the price of the product advised to you is correct. However please see clause 9.3 for what happens if we discover an error in the price of the product you order.

9.2     If the rate of VAT changes between your order date and the date we supply the product, we will adjust the rate of VAT that you pay, unless you have already paid for the product in full before the change in the rate of VAT takes effect.

9.3     It is always possible that, despite our best efforts, some of the products we sell may be incorrectly priced. We will normally check prices before accepting your order so that, where the product’s correct price at your order date is less than our stated price at your order date, we will charge the lower amount. If the product’s correct price at your order date is higher than the price stated to you, we will contact you for your instructions before we accept your order.

9.4     When you must pay and how you must pay. We accept payment with credit and/or debit cards. Payment is to be made on order and your card will be charged at this point, even though delivery lead times can be up to 21 days.

9.5     If you are a business customer you must pay all amounts due to us under these terms in full without any set-off, counterclaim, deduction or withholding (other than any deduction or withholding of tax as required by law).

9.6     If you do not make any payment to us by the due date we may charge interest to you on the overdue amount at the rate of [4]% a year above the base lending rate of HSBC  Bank Plc from time to time. This interest shall accrue on a daily basis from the due date until the date of actual payment of the overdue amount, whether before or after judgment. You must pay us interest together with any overdue amount.

9.7     If you think an invoice is wrong please contact us promptly to let us know. You will not have to pay any interest until the dispute is resolved. Once the dispute is resolved we will charge you interest.

10    Our responsibility for loss or damage suffered by you if you are a consumer

10.1   If we are delivering goods to  your property with our own vehicles, we will make good any damage to your property caused by us while doing so. However, we are not responsible for the cost of repairing any pre-existing faults or damage to your property that we discover while providing the services.

10.2   If goods are being delivered to your property by our chosen third party carrier, they will be responsible for any damage caused to your property whilst doing so. However Certainly Wood will do whatever is possible to help sort the problem.

10.3   If you are a consumer we only supply the products for to you for domestic and private use. If you use the products for any commercial, business or re-sale purpose our liability to you will be limited as set out in clause 11.

11    Our responsibility for loss or damage suffered by you if you are a business

11.1   Nothing in these terms shall limit or exclude our liability for:

11.1.1   death or personal injury caused by our negligence, or the negligence of our employees, agents or subcontractors (as applicable);

11.1.2   fraud or fraudulent misrepresentation;

11.1.3   breach of the terms implied by section 12 of the Sale of Goods Act 1979 or section 2 of the Supply of Goods and Services Act 1982;

11.2   Subject to clause 11.1:

11.2.1   we shall not be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss of profit, or any indirect or consequential loss arising under or in connection with any contract between us; and

11.2.2   our total liability to you for all other losses arising under or in connection with any contract between us, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be limited to the total sums paid by you for products under such contract.

12    How we may use your personal information

We will only use your personal information as set out in our privacy policy which is published on our website or available on request. 

13    Other important terms

13.1   We may transfer our rights and obligations under these terms to another organisation. You may only transfer your rights or your obligations under these terms to another person if we agree to this in writing.

13.2   This contract is between you and us. No other person shall have any rights to enforce any of its terms.

13.3   These terms are governed by English law and you can bring legal proceedings in respect of the products in the English courts.

13.4   Local Customers - If you live in the Herefordshire area or 40-mile radius via land transport from Certainly Wood (HR2 9JJ) please visit local.certainlywood.co.uk to place a 'local' order or call 01981 251796. Offers on www.certainlywood.co.uk do not apply to customers categorised as a local customer.

13.5   Discount Codes - can only be used once, minimum order value £125. Following products are excluded: 30 bag pallet and 0.8m3 bulk bag of kiln dried logs, weathershields and bundles. All terms and conditions and delivery information apply. Cannot be redeemed past closing date. Cannot be substituted, exchanged or refunded. Code must be entered at the checkout if ordering online, or stated at time of order via telephone. . Cannot be used in conjunction with any other offers or discount codes including any ‘Black Friday’ offers. 

13.5.1 Warp Fire Stoves Voucher - Terms as stated in point 13.5 apply. Discount ends midnight 31st March 2019.

13.5.2 Forest Holidays Website Discount - Terms as stated in point 13.5 apply. Discount ends midnight 4th November 2018.

13.6 July Locked In Discount -   to qualify for the locked in discount for the rest of the year your order must include firewood (excluding the 0.8m3 and 30 bag pallet of kiln dried logs) and be placed by 31st July 2018. To redeem your locked in discount after this date, you will need to be logged into your account and the discount will be applied at checkout. The locked in discount is only applicable to firewood, excluding the previously mentioned items, kindling and Flamers (excluding our Flamers bucket). Offers cannot be applied in conjunction with another, only this offer will be applied. Normal delivery rules and standard Certainly Wood terms and conditions apply.
